Terms of Service
Terms governing AudienceSpark digital marketing agency services and website use under Singapore law.
These Terms of Service ("Terms") govern access to audiencespark.pro and the provision of digital marketing agency services by AudienceSpark Pte. Ltd. ("AudienceSpark", "we", "us", or "our"), UEN 202948163M, registered at 3 Church Street, #08-01 Samsung Hub, Singapore 049483. By using our website, submitting an enquiry, or entering into a statement of work, proposal, or retainer agreement with us, you ("Client", "you", or "your") agree to these Terms unless a signed written agreement expressly overrides them.

1. About AudienceSpark
AudienceSpark is a Singapore digital marketing agency providing professional services including paid media strategy and management, search engine optimisation, Google Ads and Meta Ads campaign execution, branding and creative direction, content production, lead generation, conversion rate optimisation, marketing automation, analytics reporting, and integrated growth retainers. We are a services agency, not a software-as-a-service platform, artificial intelligence product vendor, IT outsourcing body shop, or generic web design studio unless expressly described otherwise in a signed scope document.
2. Website use
You may browse audiencespark.pro for lawful purposes only. You must not attempt to gain unauthorised access to our systems, introduce malware, scrape content in a manner that impairs site performance, misrepresent your affiliation with us, or use our materials to compete unfairly. Content on the website—including copy, layouts, logos, programme descriptions, and case narratives—is owned by AudienceSpark or our licensors and protected by intellectual property laws. Limited viewing and sharing for legitimate business evaluation is permitted; reproduction, republication, or commercial exploitation without written consent is prohibited.
3. Enquiries and proposals
Information submitted through contact forms or briefing calls is used to assess fit and prepare proposals. Submitting an enquiry does not create a client relationship or obligation to proceed. Proposals, rate cards, and programme outlines are confidential, valid for the period stated therein, and non-binding until a statement of work or master services agreement is executed by authorised representatives of both parties.
4. Agency services and client responsibilities
When you engage AudienceSpark, we will perform services described in the applicable statement of work with reasonable skill and care consistent with industry standards for digital marketing agencies in Singapore. You agree to:
- Provide timely access to brand assets, product information, landing pages, ad accounts, analytics properties, and stakeholder feedback necessary for delivery;
- Ensure you have lawful rights and consents to share customer lists, creative materials, and personal data supplied to us;
- Review and approve materials within agreed timeframes, understanding that delays may affect campaign launch dates and performance;
- Maintain valid billing details and pay invoices according to agreed credit terms;
- Comply with advertising platform policies, Singapore advertising standards, and applicable laws including the PDPA and Consumer Protection (Fair Trading) Act where relevant.
We may refuse or pause work if instructions would breach law, platform policy, or our professional judgement, or if accounts exhibit suspicious activity.
5. Fees, expenses, and media spend
Professional fees, programme tuition, and retainer charges are stated in Singapore dollars unless otherwise agreed. Unless a package explicitly includes ad spend, media budgets are paid directly to platforms or reimbursed as pass-through costs. Third-party tools, stock assets, production shoots, or specialist contractors may incur additional approved expenses. Late payments may attract interest at one percent per month or the maximum permitted by law, and we may suspend services after written notice. All fees are exclusive of GST unless stated otherwise; GST will be added where applicable.
6. Intellectual property
Pre-existing intellectual property of each party remains with that party. Upon full payment, you receive a licence to use deliverables created specifically for you under the engagement—such as ad copy, bespoke creative layouts, and campaign structures—for your business purposes. AudienceSpark retains ownership of proprietary frameworks, methodologies, templates, internal tools, and general know-how developed during the engagement. We may showcase non-confidential work in portfolios with your prior approval or where already public through live campaigns.
7. Confidentiality
Each party will keep confidential non-public information received from the other, using at least reasonable care, and will use it only for purposes of the engagement. Confidentiality obligations survive termination except for information that becomes public through no fault of the receiving party, was lawfully known beforehand, or must be disclosed by law or court order (with notice where permitted).
8. Marketing outcomes disclaimer
Important: Digital marketing performance depends on variables outside our sole control, including search engine and social platform algorithms, auction competition, economic conditions, product-market fit, pricing, website experience, sales follow-up, seasonality, tracking accuracy, and budget levels. AudienceSpark does not guarantee specific results such as search rankings, impression share, click-through rates, cost per lead, return on ad spend, revenue, profit, or market share.
Any targets, forecasts, or benchmark figures presented in proposals, dashboards, or conversations are estimates for planning purposes only. Past case studies and aggregate statistics on our website illustrate historical outcomes for other clients and are not promises of future performance for your business. Improved metrics may require sustained investment, iterative testing, and collaboration across your marketing, product, and sales teams.
Platform disapprovals, policy enforcement actions, attribution discrepancies, and data sampling limitations are inherent to digital advertising ecosystems. We will act diligently to diagnose issues and recommend remedial actions, but we are not liable for platform decisions or organic ranking changes made by third parties.
9. Warranties and limitation of liability
Except as expressly stated in a signed agreement, services and website content are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement. To the fullest extent permitted by Singapore law, our aggregate liability arising from or related to these Terms or any services shall not exceed the total fees paid by you to AudienceSpark for the specific engagement giving rise to the claim during the twelve months preceding the event, or S$5,000, whichever is greater.
We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, loss of goodwill, or loss of data, even if advised of the possibility. Nothing in these Terms excludes liability that cannot be excluded under Singapore law, including liability for death or personal injury caused by negligence or fraud.
10. Indemnity
You agree to indemnify and hold harmless AudienceSpark, its directors, officers, employees, and contractors from claims, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, unlawful content or data you supply, misrepresentation of rights to materials, or violation of third-party rights, except to the extent caused by our gross negligence or wilful misconduct.
11. Term, suspension, and termination
Website access may be terminated at any time without notice. Service engagements continue for the term specified in the statement of work. Either party may terminate for material breach if not cured within fourteen days of written notice, or immediately for insolvency events or unlawful conduct. Upon termination, you pay fees for work performed and non-cancellable commitments. We will provide reasonable transition assistance for account handover if outstanding invoices are settled.
12. Force majeure
Neither party is liable for delay or failure to perform due to events beyond reasonable control, including natural disasters, pandemics, government actions, widespread internet outages, or platform outages, provided the affected party notifies the other promptly and uses reasonable efforts to mitigate impact.
13. Governing law and disputes
These Terms are governed by the laws of the Republic of Singapore. The parties submit to the exclusive jurisdiction of the Singapore courts. Before commencing litigation, the parties will attempt in good faith to resolve disputes through negotiation. Either party may seek injunctive relief for intellectual property or confidentiality breaches without prejudice to other remedies.
14. Privacy and data protection
Our handling of personal data is described in our Privacy Policy. Where we process personal data on your behalf as part of campaign services, roles and responsibilities will be clarified in the statement of work or a data processing addendum where required.
15. General
If any provision is held invalid, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign to an affiliate or successor in connection with a reorganisation. These Terms, together with any executed statement of work and referenced policies, constitute the entire agreement regarding website use and standard agency terms unless superseded by a mutually signed master agreement.
